These terms govern any project or service agreement between CodeClean (“we,” “us,” “the Agency”) and a client (“you,” “the Client”) for web design, development, e-commerce, SEO, maintenance, digital marketing, or brand design services. By engaging us — via signed quote, deposit payment, or written confirmation — you agree to these terms.
1. Scope of work
Each project is scoped in a written quote or proposal specific to you, covering the package (Starter, Growth, Premium, or a custom scope), number of pages, features included, and delivery timeline. Work outside that scope — extra pages, features, or revision rounds beyond what’s included — is billed separately at our standard rates, agreed with you before we start.
2. Payment terms
- Projects are paid in two instalments by default: 50% deposit before work begins, 50% on completion before final files/access are handed over.
- Projects exceeding KES 200,000 may be split into three stages by agreement, tied to project milestones.
- We accept M-Pesa and bank transfer. Payment instructions are provided on your invoice.
- Standalone/monthly services (maintenance, SEO retainers) are billed monthly in advance and may be paused or cancelled with 30 days’ written notice.
- Late payment may pause work until the account is settled. We reserve the right to withhold the live site, source files, or domain/hosting access until final payment is received.
3. Revisions
Each package includes a set number of design revision rounds (Starter: 2, Growth: 3, Premium: 5), covering changes to layout, content placement, and styling within the agreed scope. Additional rounds, or changes that go beyond the original brief (e.g. a new page type, a different feature entirely), are quoted and billed separately.
4. Timelines
Estimated delivery times (Starter ~10 business days, Growth ~14, Premium ~21) begin once we have everything we need from you — content, images, brand assets, and feedback on schedule. Delays in receiving these from you will extend the delivery date accordingly; we’re not responsible for missed timelines caused by late client input.
5. Content and assets
Unless copywriting is purchased as an add-on, you’re responsible for providing website text, images, and other content. You confirm that anything you supply (text, images, logos, trademarks) is either owned by you or properly licensed for use, and you indemnify us against any third-party claim arising from content you provided.
6. Hosting and domains
Hosting and domain registration are not included in any package price unless explicitly stated. We can advise on and help set these up, but the hosting/domain account is registered in your name and you retain full ownership and control of it. We are not responsible for outages, costs, or issues arising from third-party hosting providers.
7. Third-party services and integrations
Where a project includes payment integrations (M-Pesa, Pesapal, card gateways) or other third-party tools, you are responsible for holding valid accounts with those providers and complying with their terms. We are not liable for downtime, transaction failures, or fee changes caused by those third parties.
8. Ownership and intellectual property
- Once final payment is received in full, ownership of the completed website design and custom code passes to you.
- We retain the right to display the completed project in our portfolio and marketing materials, unless you request otherwise in writing (e.g. for confidentiality reasons).
- Third-party assets used in your project (stock photos, licensed fonts, plugins, themes) remain subject to their own licence terms, which we’ll disclose where relevant.
- We retain no ownership claim over your brand name, logo, or content.
9. Warranty and support
Each package includes a post-launch support window (Starter: 30 days, Growth: 60 days, Premium: 90 days) covering bug fixes and minor adjustments related to our build. This does not cover: new features, content changes, issues caused by third-party plugin updates, or changes made to the site by you or another developer after handover. Ongoing support beyond this window is available via our monthly maintenance service.
10. Limitation of liability
We build websites to a high standard but cannot guarantee specific business outcomes (traffic, rankings, sales, or conversions), as these depend on factors outside our control. Our total liability for any claim arising from our services is limited to the amount you paid us for the project in question. We are not liable for indirect or consequential losses, including lost profits or lost data.
11. Cancellation
- If you cancel a project after work has started, the deposit is non-refundable and covers work completed to that point.
- If we are unable to deliver the project as scoped, we will refund any payment for work not yet completed.
- Monthly services can be cancelled by either party with 30 days’ written notice.
12. Confidentiality
We treat any business, financial, or technical information you share with us during a project as confidential, and won’t disclose it to third parties except where necessary to deliver the project (e.g. to a hosting provider) or where required by law.
13. Governing law
These terms are governed by the laws of Kenya. Any dispute arising from these terms or a project engagement will first be addressed through good-faith negotiation, and if unresolved, referred to mediation or the Kenyan courts.
14. Changes to these terms
We may update these terms from time to time; the version in effect at the time you engage us for a project is the one that applies to that project.
